Terms of Service

1. Interpretation

• "Company" means Howcroft Group Limited, Unit 9, Brookfields Way, Manvers, Rotherham, S63 5DL.
• "Platform" means the MROiq web application and related services.
• "Customer" means the business or person who registers for and uses the Platform.
• "Account" means the customer account and organisation workspace created within the Platform.
• "Subscription" means the paid plan selected by the Customer, as described on our pricing page.

2. Eligibility and Accounts

• You must be at least 16 years of age and authorised to act on behalf of your organisation to create an Account.
• You agree to provide accurate, current, and complete information during registration and onboarding.
• You are responsible for safeguarding your account credentials and for all activity under your Account. Notify us immediately of any unauthorised use.
• One organisation may hold one Account. Additional users may be invited to your organisation workspace by an account administrator.

3. Subscriptions, Trials, and Billing

• MROiq is offered on a subscription basis with the tiers described on our pricing page (Free Audit, Pro Monthly, Pro Annual, and Reseller). Features vary by tier.
• Paid plans may begin with a free trial where offered. At the end of the trial period, your selected paid plan will begin and your payment method will be charged unless you cancel before the trial ends.
• Subscription fees are billed in Pounds Sterling (GBP) in advance, on a monthly or annual basis according to your selected billing cycle.
• Payments are processed by our payment provider. We do not store your card details.
• Annual plans are billed upfront for the full year and are non-refundable except where required by law.
• We may change our fees upon reasonable notice. Fee changes take effect at the start of your next billing cycle following notice.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any law.
• Upload or input data that you do not have the right to upload, including third-party personal data without a lawful basis.
• Attempt to access, probe, or disrupt the Platform's security, infrastructure, or data belonging to other customers.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Resell, sublicense, or redistribute access to the Platform except as permitted under the Reseller tier.
• Use the Platform to store unlawful, infringing, or harmful content.

5. Your Data and Content

• You retain ownership of all supplier, spend, delivery, and audit data you upload or create within the Platform ("Customer Data").
• You grant us a limited licence to process Customer Data solely to provide and improve the Platform.
• You are responsible for the accuracy and lawfulness of Customer Data you submit.
• We process Customer Data in accordance with our Privacy Policy.

6. Cancellation and Termination

• You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
• You may delete your Account at any time, which will permanently remove your Customer Data within 90 days.
• We may suspend or terminate access if you breach these Terms, fail to pay fees, or engage in conduct harmful to the Platform or other customers.
• Upon termination, all licences granted to you cease immediately. We may delete Customer Data after a reasonable period following termination.

7. Refunds

Monthly subscriptions are non-refundable. Annual subscriptions may be refunded on a pro-rata basis for full unused months where cancellation is due to a material breach by us and where required by law. Free trial periods are not chargeable.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or changes that temporarily affect availability. We are not liable for downtime caused by factors outside our reasonable control.

9. Intellectual Property

All intellectual property in the Platform, including software, design, branding, and content provided by us, remains our property or that of our licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Platform in accordance with these Terms.

10. Limitation of Liability

• To the maximum extent permitted by law, our total aggregate liability under or in connection with these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
• We are not liable for indirect, incidental, special, or consequential damages, including loss of profit, revenue, data, or business interruption.
• Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or liability that cannot be excluded by law.
• The Platform is provided for procurement intelligence purposes. You are responsible for decisions made based on insights generated by the Platform.

11. Force Majeure

We are not liable for failure or delay caused by circumstances beyond our reasonable control, including acts of God, fire, flood, pandemic, strike, war, government action, or failure of third-party suppliers.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. The "last updated" date will reflect the most recent version. Where changes are material, we will notify you by email or within the Platform. Continued use after changes constitutes acceptance of the updated Terms.
